theBUBFactor — Independent Sales Affiliate Agreement (1099)
Effective Date: 8/9/2026
This Independent Sales Affiliate Agreement ("Agreement") is entered into between theBUBFactor LLC ("Company") and the undersigned Independent Sales Affiliate ("Affiliate").
1. Independent Contractor Relationship
Affiliate is engaged as an independent contractor and not as an employee, partner, joint venturer, franchisee, or agent of the Company. Affiliate shall:
- Determine their own work schedule.
- Supply their own computer, phone, internet service, transportation, and business expenses.
- Control the manner and means of performing sales activities.
Nothing contained in this Agreement shall be interpreted as creating an employer-employee relationship. Affiliate is solely responsible for all federal, state, and local taxes arising from compensation paid under this Agreement.
2. Purpose
The Affiliate Program is designed to introduce qualified businesses to TheBUBFactor™ for advertising, verification, and subscription services. Affiliates are compensated only for valid business subscriptions accepted by the Company.
3. Compensation
Compensation shall be governed by the Company's current Affiliate Compensation Schedule, which is incorporated into this Agreement by reference. The Compensation Schedule shall specify:
- Initial Acquisition Bounty
- Monthly Recurring Commission
- Bonus Programs
- Promotional Incentives
- Contest Awards
- Special Campaigns
The current compensation schedule at the Effective Date provides:
- Initial Acquisition Bounty: 30% of the customer's first monthly subscription payment.
- Recurring Commission: 20% of each subsequent monthly subscription payment while the customer remains active and eligible.
The Company may modify future compensation schedules prospectively in accordance with Section 16. No modification shall reduce commissions that have already been earned under this Agreement.
4. Commission Eligibility
A commission is earned only after all of the following conditions have been satisfied:
- Customer completed checkout through an official Company payment page.
- Payment successfully processed.
- Subscription activated.
- Customer remains active for at least thirty (30) consecutive days.
- No refund requested.
- No chargeback initiated.
- No fraud detected.
- Customer remains in good standing.
If any requirement is not satisfied, no commission shall be earned.
5. Commission Holding Period
All commissions shall remain in Pending Status for thirty (30) calendar days following the customer's initial payment. Pending commissions are not earned commissions. Upon expiration of the Holding Period, eligible commissions automatically convert to Approved status.
6. Monthly Recurring Commissions
Affiliate shall receive recurring commissions only while:
- subscription remains active;
- monthly payment successfully processes;
- customer remains assigned to Affiliate;
- account remains in good standing.
Recurring commissions cease immediately upon cancellation, suspension, non-payment, fraud, or account termination.
7. Customer Assignment
Each approved customer shall be assigned to the originating Affiliate. Assignment remains active while:
- Affiliate complies with this Agreement.
- Customer remains active.
- Affiliate satisfies the Vesting requirements described below.
Customer relationships remain the exclusive property of the Company.
8. Vesting
Affiliates become fully vested after maintaining Active Affiliate Status for twenty-four (24) consecutive months. Active Affiliate Status requires onboarding at least two (2) new paid active businesses each calendar month.
After vesting:
- recurring commission percentage is reduced from 20% to 10%;
- vested recurring commissions continue even if Affiliate stops active selling.
If Affiliate becomes inactive before vesting, all unvested customer assignments revert to the Company.
9. Chargebacks, Refunds & Reversals
The Company may reverse previously approved commissions resulting from:
- refunds;
- payment disputes;
- chargebacks;
- duplicate accounts;
- fraudulent transactions;
- policy violations.
Commission reversals may be satisfied through:
- deduction from future commissions;
- negative affiliate balance;
- offset against bonuses;
- any other lawful recovery method.
10. Fraud Prevention
Immediate termination may occur for:
- self-referrals;
- purchasing through one's own affiliate link;
- creating fake businesses;
- duplicate accounts;
- fake reviews;
- false verification claims;
- collecting customer payments;
- manipulating commissions;
- unauthorized discounts;
- deceptive marketing;
- spam.
Fraud results in forfeiture of all unpaid commissions.
11. Verification Authority
Only the Company may determine whether a business qualifies as: Verified, Proof of Work Verified, Insurance Verified, Bonded, or Trusted Professional. Affiliates may never guarantee or promise verification.
12. Payment Security
Affiliates shall never:
- collect credit card information;
- process customer payments;
- receive checks payable to the Company;
- accept cash on behalf of the Company.
All customers must complete payment through the Company's secure online checkout. Violation constitutes immediate termination.
13. Marketing Standards
Affiliates shall use only Company-approved:
- logos;
- trademarks;
- advertising;
- brochures;
- presentations;
- videos;
- social media graphics.
No unauthorized website, advertisement, or marketing campaign may represent the Company.
14. Intellectual Property
TheBUBFactor™, BUB Scout™, BUB AI™, BUB Verify™, logos, graphics, software, and related intellectual property remain the exclusive property of the Company. No ownership rights are transferred.
15. Confidential Information
Affiliate shall keep confidential:
- customer information;
- pricing strategies;
- prospect databases;
- software;
- sales reports;
- verification methods;
- AI systems;
- internal documentation.
Confidentiality survives termination.
16. Program Changes
The Company may modify prospectively:
- compensation schedules;
- bonus programs;
- contests;
- commission rates for future sales;
- policies;
- procedures;
- dashboard functionality.
Changes shall not reduce commissions already earned.
17. Termination
Either party may terminate this Agreement at any time. Upon termination:
- unpaid ineligible commissions are forfeited;
- earned commissions remain payable;
- customer ownership remains with the Company.
18. Limitation of Authority
Affiliate has no authority to:
- bind the Company;
- negotiate contracts;
- alter pricing;
- promise verification;
- modify subscriptions;
- issue refunds.
Only authorized Company personnel may perform those actions.
19. Governing Law
This Agreement shall be governed by the laws of the State designated by the Company in its principal place of business, without regard to conflict-of-law principles.
20. Entire Agreement
This Agreement, together with the Affiliate Compensation Schedule and any incorporated Company policies, constitutes the entire agreement between the parties and supersedes all prior discussions or understandings relating to the Affiliate Program.

Representatives are strictly prohibited from collecting, handling, or asking for a customer's credit card or payment information over the phone, text, or email. You must walk the customer through the self-checkout onboarding portal on your tracking page.
